These TextReveal® AI Connector Terms of Use (the “Terms”) govern access to and use of the TextReveal® AI Connector (the “Connector”), provided by SESAMm S.A.S., a French société par actions simplifiée registered under SIREN 802 024 737, with its registered office at 7 Boulevard Solidarité, 57070 Metz, France, together with its subsidiaries (“SESAMm”).
The Connector allows Permitted Users of SESAMm’s Subscribers to query TextReveal® from third-party artificial intelligence assistants, such as ChatGPT, through the Model Context Protocol (MCP). The Connector is available only to Subscribers that have entered into a signed Agreement with SESAMm and whose Purchase Order activates the MCP Package.
By connecting, authenticating or otherwise using the Connector, the User accepts these Terms. A User who does not accept these Terms must not use the Connector.
The following words and expressions, used in singular or plural, have the following signification in these Terms when used with a capital letter. Capitalized terms not defined below have the meaning given to them in the Agreement:
Agreement: means the agreement signed between SESAMm and the Subscriber governing the Subscriber’s subscription to the Services, including the Master Services Agreement (“MSA”), any Purchase Order and any Change Order, as amended from time to time.
AI Platform: means any third-party artificial intelligence assistant, large language model application or agent environment through which the Connector is used, such as ChatGPT (OpenAI).
AI Response: means any content generated by an AI Platform, including any text, table or chart that summarizes, restates, combines, compares or interprets Results.
Connector: means the TextReveal® MCP server and the related tools, interfaces and documentation that SESAMm makes available to allow AI Platforms to access the Services.
Credentials: means any login, password, API key, access token or other means of authentication issued by SESAMm to access the Services or the Connector.
ESG Rating Regulation: means Regulation (EU) 2024/3005 of the European Parliament and of the Council of 27 November 2024 on the transparency and integrity of Environmental, Social and Governance (ESG) rating activities.
MCP Package: means the TextReveal® MCP access package, as activated in the Subscriber’s Purchase Order.
Permitted User: means a natural person authorized by the Subscriber to use the Services under the Agreement.
Results: means the data and outputs returned by the Services through the Connector, including ESG controversy events, cases, metrics and the Controversy Exposure Score (“CES”).
Services: means the TextReveal® products and services to which the Subscriber subscribes under the Agreement.
Subscriber: means the legal entity that has entered into an Agreement with SESAMm.
User: means the Permitted User using the Connector and, where the context requires, the Subscriber.
2.1. Additional access channel. The Connector is an additional means of accessing the Services subscribed under the Agreement. It does not grant any right of access to services, data, coverage, features or volumes beyond those set out in the Agreement.
2.2. Supplementary terms of use. These Terms are terms of use made available by SESAMm within the meaning of the Agreement, including Section 4.3(b) of the MSA. They supplement the Agreement only for matters specific to the Connector and to AI Platforms. They do not amend, extend, replace or waive any provision of the Agreement.
2.3. Order of precedence. In the event of any conflict or inconsistency between these Terms and the Agreement, the Agreement prevails. Nothing in these Terms modifies the fees, term, scope or license set out in the Agreement.
2.4. Responsibility for Permitted Users. The Subscriber remains responsible for the compliance of its Permitted Users with these Terms, in accordance with the Agreement.
3.1. Eligibility. Use of the Connector requires valid Credentials issued by SESAMm under an Agreement in force that includes the MCP Package. Access to the Connector ends automatically when the Agreement or the MCP Package ends, or when the User ceases to be a Permitted User.
3.2. Permitted User limits. Use of the Connector by a person counts as use of the Services by that person for the purposes of any Permitted User limits set out in the Agreement.
3.3. Credentials. Credentials are personal to each Permitted User. The User shall keep Credentials confidential and shall not share them, or embed them in any AI Platform configuration, custom assistant, shared project or workspace that is accessible to persons other than Permitted Users. The User shall notify SESAMm without delay of any actual or suspected unauthorized use of its Credentials.
3.4. Monitoring. SESAMm may monitor the use of the Connector, including volumes, frequency and the tools called, to secure the Connector and to verify compliance with these Terms and the Agreement.
4.1. Third-party services. AI Platforms are operated by third parties independent of SESAMm. Use of an AI Platform is governed by the User’s own agreement with the provider of that AI Platform. SESAMm is not a party to that agreement and is not responsible for the availability, security, functioning or data practices of any AI Platform.
4.2. Internal authorization. The Subscriber is responsible for ensuring that the use of an AI Platform with the Connector is authorized under its internal policies, including its information security, confidentiality and data protection policies.
4.3. Transmission of Results. When the User queries the Connector, the queries and the Results are transmitted to and processed by the AI Platform. The transmission of Results to an AI Platform, solely to generate AI Responses for the Permitted User who made the query, is a permitted use of the Services and does not constitute a redistribution of the Results. The User shall not knowingly allow the Results to be used to train or improve the models of the AI Platform provider and, where the AI Platform offers such a setting, shall keep the use of its content for model training disabled.
4.4. AI Responses. AI Responses are generated by the AI Platform, not by SESAMm. They may summarize, omit, combine, misstate or misinterpret Results, and may include information that does not come from SESAMm. AI Responses are not Results and do not constitute SESAMm ratings, analyses or opinions. The Results as delivered by SESAMm through the TextReveal® platform, dashboards and API remain the reference. The User is responsible for verifying AI Responses before relying on them, in particular before any investment, credit, compliance or other business decision.
5.1. License. Results obtained through the Connector are subject to the license, restrictions and confidentiality obligations of the Agreement, which apply in full. All rights in the Connector and the Results remain with SESAMm and its licensors.
5.2. Restrictions. Unless the Agreement expressly provides otherwise, the User shall not:
(a) use the Connector or the Results other than for the Subscriber’s internal business purposes;
(b) redistribute, publish, sell, sub-license or otherwise make available Results, or AI Responses containing Results, to any third party, including through shared conversations, public links, custom assistants or agents accessible outside the Subscriber;
(c) use the Connector to extract, download, copy or compile Results in bulk or systematically, including through automated agents or scripts, beyond normal interactive use;
(d) use the Results, directly or through AI Responses, to create or feed any index, benchmark, rating, score or financial product;
(e) present the Results or AI Responses as a third-party rating, or use them to promote the ESG standing or performance of the Subscriber or any other entity;
(f) use the Connector, the Results or AI Responses to train, fine-tune or evaluate any artificial intelligence model, or to develop any product or service that competes with SESAMm;
(g) reverse engineer the Connector, or attempt to bypass its security measures, access controls, rate limits or usage restrictions;
(h) use the Connector in a manner that can reasonably be expected to overload SESAMm’s infrastructure.
5.3. Enforcement. Without prejudice to its rights under the Agreement, SESAMm may throttle, suspend or revoke the access to the Connector of any User who breaches these Terms. SESAMm may also charge additional fees, including through additional packages, where the use of the Connector exceeds the MCP Package subscribed or the fair use provisions of the Agreement, including Section 4.1(e) of the MSA on excessive or extraordinary API usage.
6.1. ESG rating. The Controversy Exposure Score (CES) is an ESG rating within the meaning of the ESG Rating Regulation. The CES is an unsolicited ESG rating: it is issued at SESAMm’s own initiative and is not requested or paid for by the rated entity.
6.2. Methodology. The CES methodology is published at https://www.sesamm.com/methodology. The CES is intended for quick risk assessments, tracking of controversy exposure trends and peer benchmarking.
6.3. Independence. Neither the Connector, these Terms, the Agreement nor any fee alters SESAMm’s published methodology or the production of the Results. No commercial term extends to SESAMm’s rating production.
6.4. Reformulation by AI Platforms. An AI Response that restates, summarizes or reformulates a CES is not an ESG rating issued by SESAMm. The CES as published by SESAMm prevails. The User shall not present any AI Response to a third party as an ESG rating issued by SESAMm.
6.5. No advice. The Results, including the CES, do not constitute investment advice, a recommendation to buy, sell or hold any financial instrument, or legal, tax or other professional advice.
7.1. Changes. SESAMm may modify or update the Connector and its tools from time to time, provided that the overall functionality of the MCP Package subscribed under the Agreement is not materially reduced. SESAMm may modify or end the availability of the Connector on any given AI Platform.
7.2. AI Platform compatibility. SESAMm does not guarantee that the Connector will remain listed on, available through or compatible with any AI Platform, whose providers may change their products, policies or directories at any time.
7.3. Suspension. SESAMm may suspend access to the Connector, in whole or in part, where necessary for security reasons, in case of unauthorized use or breach of these Terms, or to comply with applicable law or a request from a competent authority.
7.4. Other access channels. Any interruption or discontinuation of the Connector does not affect the Subscriber’s access to the Services through the other channels provided under the Agreement.
8.1. As is. The Connector is provided “as is” and “as available”. SESAMm’s obligations in relation to the Connector are obligations of means, and the warranty and disclaimer provisions of the Agreement apply to the Connector and to the Results obtained through it.
8.2. Exclusions. To the maximum extent permitted by applicable law, SESAMm shall have no liability for (i) any AI Response, (ii) the acts, omissions, availability or data processing of any AI Platform or its provider, (iii) any decision made on the basis of an AI Response, or (iv) any use of the Connector in breach of these Terms or the Agreement.
8.3. Liability cap. Any liability of SESAMm in connection with the Connector is subject to, and counts toward, the limitations and caps of liability set out in the Agreement, and is not in addition to them.
9.1. SESAMm processing. SESAMm processes the data needed to operate the Connector, such as Credentials, user identifiers, query parameters and technical logs, to provide, secure, support and improve the Connector and to verify compliance with these Terms and the Agreement. This processing is carried out in accordance with the personal data provisions of the Agreement and SESAMm’s Privacy Policy available at https://www.sesamm.com/privacy-policy.
9.2. AI Platform processing. Data processed by an AI Platform, including the User’s prompts and the Results transmitted to it, is governed by the terms and privacy policy of the AI Platform provider.
9.3. Data minimization. The User shall not include in queries sent to the Connector any personal data that is not necessary for the query.
Permitted Users can request support for the Connector through the SESAMm contact page at https://www.sesamm.com/contact-us or through their SESAMm account manager. Support requests should state the AI Platform used, the date and time of the issue, and the query or tool concerned, and must never include Credentials.
11.1. Amendments. SESAMm may update these Terms from time to time. The date of the latest version is shown at the top of these Terms. Continued use of the Connector after an update constitutes acceptance of the updated Terms. No update of these Terms modifies the Agreement.
11.2. Governing law and jurisdiction. These Terms are governed by the law, and any dispute arising out of or in connection with them is subject to the courts, designated in the Agreement. Where the Agreement makes no such designation, these Terms are governed by French law and any dispute is subject to the exclusive jurisdiction of the competent courts of Paris, France.
11.3. Severability and no waiver. If any provision of these Terms is held invalid or unenforceable, the other provisions remain in full force. The failure of SESAMm to enforce any provision of these Terms does not constitute a waiver of its right to do so later.
11.4. Language. These Terms are drafted in English. Any translation is provided for convenience only, and the English version prevails.
